CONSTITUTION OF THE KREWE OF DOMINIQUE YOUX
ARTICLE I - NAME
This Society shall
be known as the KREWE OF DOMINIQUE YOUX.
ARTICLE II - PURPOSE
The purpose of the Krewe shall be:
(A)
To present, annually, a masked parade followed by a ball.
(B)
This society shall become a Mardi Gras society with the
celebration being held as scheduled by the Board of Directors.
(C)
The society shall be a non-profit, civic organization for the
purpose of promoting and advancing the economic growth and welfare of
the citizens of Panama City, Panama City Beach and Bay County, Florida.
(D)
The society shall have the authority to acquire real and personal
property by lease, purchase, or gift and make and adopt by-laws for the
regulation of the society.
ARTICLE
III - MEMBERSHIP
The membership of the society shall be comprised of active
members in good standing not to exceed 185 members. Any active member
desiring to resign from the society must submit a letter of resignation
to the Board prior to the annual meeting; otherwise, he shall be
considered a member for the ensuing year and liable for full payment of
assessments.
ARTICLE IV – OFFICERS AND DIRECTORS
The officers of the Krewe shall consist of a president, vice
president, secretary and treasurer. The Krewe shall also have three
elected Board of Directors members.
(A)
The officers of the society shall be elected annually by a vote
of the active membership. The nominees receiving a majority of the
votes cast shall be deemed elected for the ensuing fiscal year.
(B)
The three elected members of the Board of Directors of the
society shall be elected annually by a vote of the active membership.
The nominees receiving a majority of the votes cast shall be deemed
elected for the ensuing fiscal year.
ARTICLE V – BOARD OF DIRECTORS
There shall be a Board of Directors composed of the four
officers of the society, three elected directors, the immediate past
president, the quartermaster, keeper of the keys, membership committee
chairman, float committee chairman and any other committee chairmen the
president appoints to the Board. Only the officers and elected directors
shall be voting members of the Board. All other members of the Board
shall be non-voting members who serve in an advisory capacity except as
described elsewhere in the By-Laws. In the event of a tie vote of the
Board of Directors, the immediate past president shall cast the
tie-breaking vote.
(A)
Except as provided herein, the Board shall have the authority to
act for and in lieu of the society.
ARTICLE VI - AMENDMENTS
Proposed amendments to this constitution shall be submitted to
the Board of Directors in writing and signed by at least ten members of
the society.
(A)
Proposed amendments to this constitution shall be submitted in
writing to the active members not later than 15 days prior to the annual
meeting or any properly noticed special meeting of the general
membership.
(B)
Amendments to this constitution shall require a vote of
two-thirds of the members present and voting at any annual or special
meeting.
The Krewe shall hold at least one business meeting
per year for the general membership.
(A)
The annual business meeting of the Krewe shall take place each year
within forty-five days after the Mardi Gras Ball. No less than 15 days
prior to the scheduled annual meeting, the Krewe shall send a written
notice to each active member specifying the time and place of the
meeting. A copy of the meeting agenda shall be embodied in the notice.
(B) The president of
the Krewe may call special meetings of the general membership to conduct
business of the Krewe. The president must comply with the notice
provisions of Article VII, Paragraph (A) for all special meetings.
